Limitation of Liability

• Any conduct or content of any third party on our services
• Any content obtained from our services
• Unauthorized access, use, or alteration of your transmissions or content

Maximum Liability Cap

In no event shall our aggregate liability for all claims related to our services exceed the amount paid by you, if any, to TechAssist during the twelve months preceding the event giving rise to the liability, or one hundred euros (€100), whichever is greater.

Force Majeure

We shall not be held liable for any failure or delay in performance of our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Dispute Resolution

Informal Resolution

Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute, claim, or controversy arising from or relating to these Terms and Conditions through good faith negotiation. Either party may initiate this process by providing written notice to the other party.

Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these terms shall be instituted exclusively in the courts of Cyprus.

Venue and Waiver of Jury Trial

You agree to submit to the personal and exclusive jurisdiction of the courts located in Cyprus. Both parties waive their right to a jury trial in any legal proceeding arising out of or relating to these Terms and Conditions.

General Provisions

Severability

If any provision of these Terms and Conditions is deemed invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent, or if such modification is not possible, the provision shall be severed. The remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms and Conditions, together with our Privacy Policy, Cookie Policy, Terms of Service, and any other legal notices published by us on our website, constitute the entire agreement between you and TechAssist concerning the use of our services.

Waiver

No waiver of any term of these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms and Conditions or any rights granted hereunder without our prior written consent. We may assign our rights and obligations under these terms without restriction.

Modifications to Terms

We reserve the right to modify these Terms and Conditions at any time. We will provide notice of material changes by updating the "Last updated" date and, where appropriate, by email notification or prominent notice on our website. Your continued use of our services following such modifications constitutes acceptance of the updated terms.

Survival

Provisions that by their nature should survive termination of these Terms and Conditions shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
